Semtech Corp. completes acquisition of AptoVision Technologies Inc.

On July 1, 2017, Semtech Corp. (Nasdaq: SMTC) (Semtech) a leading supplier of high-performance analog and mixed-signal semiconductors and advanced algorithms, completed the acquisition of all of the outstanding equity interests of AptoVision Technologies Inc. (AptoVision), a privately-held provider of uncompressed, zero-frame latency, Video over IP solutions addressing the Pro AV market. Semtech acquired the outstanding equity interests of AptoVision for a cash purchase price of US$28 million and additional contingent consideration of up to US$47 million subject to achieving certain future financial goals. 

Semtech was represented in-house by Charles Ammann, Executive Vice President, General Counsel and Secretary and Leslie Ravestein, Vice President and Assistant General Counsel, by O’Melveny & Meyers LLP, with a team led by corporate partners Eric Zabinski and Jeff Walbridge, and by Stikeman Elliott LLP with a team composed of John Leopold, Warren Silversmith, Kevin Custodio and Jordan Dawson (M&A), Frank Mathieu and Adam Drori (tax), Stephanie Weschler and Stephanie Pasternyk (employment), Natasha VandenHoven (benefits), Marie-Claude David (real estate), Myriam Fortin (environmental), and Jonathan Auerbach (intellectual property) and Jeffrey Brown (regulatory). 

AptoVision was represented by Osler, Hoskin & Harcourt LLP with a team composed of Eric Levy, Antonella Penta, Jeremy Brisset and Caitlin Wetherly (corporate) and Manon Thivierge (tax).
