Andritz Acquires Shares of Universal Dynamics

On May 6, 2005, Andritz acquired all of the shares of Universal Dynamics Group Inc., a Vancouver-based engineering firm providing high-technology products, systems and services to heavy industry, including its BrainWave process control software product. The
publicly-listed Andritz Group, with global operations based in Graz, Austria, is a leader in advanced production systems and services for pulp and paper, steel and other special industries. The amount of the transaction is confidential.

Andritz was represented in-house by David Bumsted, CLO, assisted by John Leopold, Neville McClure and Jennifer MacGregor-Greer (corporate), Frédéric Harvey (tax) and Eugene Derényi (IP) of Stikeman Elliott LLP. Universal Dynamics Group and its shareholders were represented by Gordon Chambers, Ben Slager and Randall Chatwin (corporate/commercial) and Len Glass (tax) of Lawson Lundell LLP.
