ATCO and CU Centres Acquired

On April 12, 2002, Edcal (2002) Holdings Limited, a co-ownership of Edcal (No. 2) Limited Partnership and The Retirement Plan for Employees of Canadian Utilities Limited & Participating Companies, and Royal Trust Corporation of Canada as trustee of the retirement annuity plans for employees of ATCO Structures Inc., acquired the ATCO Centre in Calgary and the CU Centre in Edmonton from BM Pension Realty “2” Inc., for a total purchase price of $60.5 million. Mortgage financing in the amount of $36.3 million was provided by Hamburgische Landesbank Girozentrale, through Nortrade Finance Alberta Limited.
The purchasers were represented in Alberta by Shaun MacIsaac of Pittman, MacIsaac & Roy. Edcal (No. 2) was represented in Toronto by Robins Appleby & Taub, with a team led by Neill Kalvin, and assisted by Darrell Gold and John Cooney. The Retirement Plan for Employees of Canadian Utilities and Royal Trust were represented by Bennett Jones LLP, with a team led by Wayne Whitlock, and assisted by Farouk Adatia.
BM Pension Realty “2” was represented by Robert Homme, Q.C., of Burnet, Duckworth & Palmer LLP in Alberta. Hamburgische Landesbank Girozentrale was represented by Murray Hart of Goldman Sloan Nash & Haber LLP in Toronto. Nortrade Finance Alberta was represented in Alberta by Paul Jacobson.
