B2Gold acquires Papillon Resources

B2Gold Corp. has acquired all of the issued ordinary shares of Papillon Resources Limited for aggregate consideration of approximately US$570 million. The acquisition of Papillon will result in a combined entity that will be focused on furthering the development of Papillon’s Fekola project in Mali, optimizing B2Gold’s existing Masbate, Limon and La Libertad mines, and completing construction of the Otjikoto mine in Namibia.

B2Gold was represented in-house by Roger Richer, Executive VP, General Counsel and Secretary and by its external counsel Lawson Lundell LLP with a team comprising Randall Chatwin, David Snarch, and Andreas Heiden (M&A) and Stuart Breen (mining). B2Gold’s US legal counsel was Dorsey & Whitney LLP (Chris Doerksen and Clint Foss); its Australian legal counsel was K&L Gates LLP with a team comprising Simon Salter and Riley Kemp.

Papillon was represented in Australia by its external counsel Hardy Bowen with a team comprising Michael Bowen, Scott Gibson, Michael Ng and Sam Smart. Papillon’s Canadian counsel was Quentin Markin, Jason Streicher and Bessie Jackson (M&A) of Stikeman Elliott LLP.
