Bank of Nova Scotia Completes Offering of Common Shares

The Bank of Nova Scotia (“Bank”) completed a bought deal offering of 33,350,000 common shares, at a price of $52.00 per common share, for $1.734 billion, through a syndicate of underwriters led by Scotia Capital Inc. The offering included an over-allotment option, whereby the underwriters purchased 4,350,000 common shares.

The Bank was represented by Deborah Alexander, Executive Vice President, General Counsel and Secretary and Martha Hundert, Senior Legal Counsel, and externally by Osler, Hoskin & Harcourt LLP with a team comprising Steven Smith, Kashif Zaman, Jason Comerford and Brian Gray (corporate & securities).

Scotia Capital Inc. was represented by David Skurka, Managing Director and Deputy Head of Global Investment Banking and by Torys LLP as counsel to the underwriters, with a team that included Phil Mohtadi and Peter Danner (corporate & securities).
