EnCana and AltaGas Complete Purchase and Sale Transactions

EnCana Oil & Gas Partnership, EnCana West Ltd. and AltaGas Services Inc. completed, on December 19, 2002, two purchase and sale transactions for an aggregate pre-adjusted cash consideration of approximately $114 million. AltaGas acquired EnCana’s interests in two natural gas pipelines in Suffield, Alberta and eight natural gas gathering and processing systems in the Wabasca area in northeastern Alberta. As part of the transaction, EnCana entered into long-term transportation, gathering and processing agreements with AltaGas.

AltaGas was represented in-house by Dennis Dawson, vice-president, general counsel and corporate secretary; and Tom O’Sullivan, counsel; and by Miller Thomson LLP in Calgary and Toronto with a team led by Richard Gushue, and assisted by Marvin Koochin and Clarke Barnes. Brian Evans of Miller Thomson in Calgary provided regulatory advice and Andrew Roman in Toronto assisted with competition matters.
