General Donlee and Triumph Group Complete Plan of Arrangement

General Donlee Canada Inc., and Triumph Group, Inc. announced the completion of the acquisition of General Donlee.

As part of the acquisition, Triumph acquired all of the issued and outstanding common shares of General Donlee, pursuant to a plan of arrangement under the Canada Business Corporations Act. In connection with the transaction, General Donlee shareholders received $5.50 per common share in cash. At the time of announcement, the total value of the transaction was estimated at $114 million. The arrangement was approved by the shareholders of General Donlee at a meeting held on Sep. 30, 2013.

Based in Toronto, General Donlee is a leading diversified manufacturer of precision-machined products serving the commercial, military, and general aerospace industries, as well as the nuclear, power generation, oil and gas and capital equipment end markets.

Headquartered in Berwyn, Pennsylvania, Triumph Group designs, engineers, manufactures, repairs and overhauls a broad portfolio of aerostructures, aircraft components, accessories, subassemblies and systems.
