Kerry Canada Acquires Rector Foods

Kerry Canada Inc., a subsidiary of Kerry Group plc, acquired Rector Foods Group through the purchase of all the shares of Brampton, Ontario-based Rector Holdings Limited. The deal closed on October 25, 2002, and its value is undisclosed. JR/Janus Merchant Brokers Ltd. acted as agent for Rector Foods. As a result of the transaction, Kerry Canada is now one of Canada’s leading manufacturers of meat seasonings.

Kerry Canada’s legal team was led by U.S. in-house counsel Bill Coole, and included Fasken Martineau DuMoulin LLP in Toronto, with a team led by Gary Fogler (corporate) and including Alan Schwartz and Robert McDowell (strategic M&A), Bill Chinkiwsky and Yvette Siegelberg (corporate), Mitchell Thaw (tax), Ralph Nero (employment), Paul King (real estate), Rosalind Cooper (environmental), Angela Di Padova (competition and Investment Canada), May Cheng (intellectual property) and Robert Harrison, Sam Rickett and Scott Rollwagen.

The vendors were represented by Bennett Jones LLP, with a team led by Ben Hutzel and Paul Blundy (corporate), and assisted by Matthew Howorth (corporate), Sharon Duffy (employment) and Eugene Friess (tax).
