MemberWorks Acquires Lavalife

Stamford, Connecticut-based MemberWorks Inc., a provider of consumer and membership services through affinity marketing and online channels, completed its acquisition of Lavalife Inc., a Toronto-based provider of online and IVR-based interactive personals services for singles.

On March 3, 2004, the parties entered into a master transaction agreement pursuant to which MemberWorks agreed to purchase separately certain assets and all of the shares of Lavalife for aggregate gross proceeds to the former shareholders of Lavalife of approximately $150 million. The transaction was completed on April 1, 2004.
