Mindready Solutions

Mindready Solutions Inc., an indirect subsidiary of Quebecor Inc., recently completed a series of transactions, commencing with the acquisition of Beltron Technologies Inc., a Montreal-based software and specialized electronic solutions company. Ogilvy Renault (Montreal), represented by Renaud Coulombe and Shannon Myre acted for Mindready, and McCarthy TĂ©trault (Montreal), represented by Pierre St-Aubin, acted for the shareholders of Beltron.

In June 2000, Mindready entered into a worldwide strategic partnership with Nortel Networks including a five-year agreement with respect to the providing by Mindready of various telecom engineering services to Nortel and its subsidiaries. In this connection, Nortel also purchased an equity participation in Mindready by way of subscription of shares and convertible warrants.

Ogilvy Renault (Montreal) represented by Renaud Coulombe, Pierre Lajoie, Luc Boucher and Elliot Shapiro acted for Mindready. Nortel was represented by in-house counsel Anthony Milazzo, with the assistance of Stikeman Elliott with a team comprised of Brian Tukier (Toronto) and Dan Thomson (Toronto), Adam Atlas (Montreal) and Donna Benedek (Montreal).

In June, 2000 and August, 2000 respectively, Mindready proceeded with the acquisitions of Andrew Duncan Associates Ltd. and CCS Electronics—two U.K-based companies specializing in the business of telecommunications test engineering. Ogilvy Renault, represented by Renaud Coulombe and Steve Kelly, acted for Mindready with the assistance of Eversheds (London) with respect to English law. The vendors did not retain Canadian counsel in either transaction.
