Potash Issues US$500M Notes Due 2017 and US$500M Notes Due 2040

On November 30, 2010, Potash Corporation of Saskatchewan Inc. (“PotashCorp”) issued US$500 million aggregate principal amount of 3.25 per cent notes due December 1, 2017 and US$500 million aggregate principal amount of 5.625 per cent notes due December 1, 2040.

BofA Merrill Lynch, Goldman, Sachs & Co., Morgan Stanley, RBC Capital Markets and Scotia Capital acted as joint book-running managers of the offering, while BMO Capital Markets, HSBC, Jefferies & Company, Rabo Securities, UBS Investment Bank, CIBC and Mitsubishi UFJ Securities acted as co-managers.

PotashCorp was advised by Edward (Ward) Winslow, Andrew Farwig and Corey Dickey (capital markets) of Jones Day in Chicago, William Braithwaite and Mike Devereux (corporate) of Stikeman Elliott LLP in Toronto; and Nathan Boidman and Marie-Emmanuelle Vaillancourt (tax) of Davies Ward Phillips & Vineberg LLP in Montréal.
