Rogers Cable Issues Notes

On February 5, 2002, Rogers Cable Inc. issued $450 million principal amount of 7.60 per cent senior (secured) second priority notes due February 6, 2007, and qualified these notes by filing a prospectus in each province of Canada. The notes were issued as senior secured obligations of Rogers Cable subject to the right of Rogers Cable, at its option, to release the collateral for the notes at any time it has no other indebtedness secured by the collateral securing the notes, and if at the time of such release the notes have an investment grade rating from two of three specified rating agencies.
