Roman Acquires All Boehmer Shares

Toronto-based Roman Corporation Limited acquired all of the issued and outstanding shares of Kitchener, Ontario-based A. & C. Boehmer Limited on March 1, 2002. Boehmer manufactures printed folding cartons for consumer packaged goods, primarily for the private label food industry. In connection with the acquisition, Roman entered into a senior secured credit agreement with a syndicate of financial institutions led by CIBC. Roman also entered into a senior subordinated loan agreement with CIBC Capital Partners. The aggregate credit facilities available under the senior and subordinated credit agreements total $75.4 million.

CIBC was represented on the senior financing by Torys LLP, with a team comprised of Peter Birkness, Sarah Lerchs and Katherine Christie (real estate), Dennis Mahony (environmental) and Christina Medland (pensions). CIBC Capital Partners was represented on the subordinated financing by Blake, Cassels & Graydon LLP, with a team including Ian Binnie (banking), Gord Currie (securities), Robert Fishlock (environmental), Robin McGillis (real estate) and Mario Josipovic and Neil Kothari.
