Siemens Canada Limited

On 21 January, 2000, Siemens Canada Ltd., the German electrical and electronic engineering giant, made a $340 million all-cash take-over bid through its wholly owned subsidiary, Siemens Canada Acquisition (2000) Inc., for Milltronics Ltd., a Peterborough-based company that specializes in the design, manufacture and marketing of sophisticated measurement instrumentation for industrial use. The offer, which is subject to regulatory approvals, expires on February 28, 2000 and is conditional upon at least 66 2/3 per cent of the common shares in Milltronics being tendered. Christa C. Wessel, Graham P.C. Gow, Jasprit K. Gill, Robert Hansen (corporate) Judith M. Woods, Steven Baum, Naomi Morisawa DeKoven (tax) and Oliver J. Borgers (competition) from McCarthy Tétrault’s Toronto office are acting for Siemens on the bid. Milltronics is being represented by Torys whose team includes Stephen J Donovan, Peter A. M. Kalins and Sean Berber.
