Syntax Systems acquires Core Services Corp.

Syntax Systems Ltd., a Novacap portfolio company, completed the acquisition of Core Services Corp. on April 18, 2017. Together, the combined entities will create one of the leading North American technology services firms offering best in class cloud managed services, application managed services and consulting services for Enterprise Resource Planning applications employed by mid-sized and large enterprises. 

The acquisition was financed with equity provided by Novacap, Private Advisors and Northleaf Capital as well as from management of both companies. Financial terms were not disclosed. 

Syntax Systems was represented by Josiane Turcotte, Senior Legal Counsel at Novacap and assisted by McMillan LLP with a team that included Charles Chevrette (corporate), Patrice Beaudin (debt financing), Elisa Henry (intellectual property) and Béatrice Méthé (corporate), and by Choate Hall & Stewart LLP with a team that included Sarah Camougis and Rees Hawkins (corporate) and James Kane (debt financing). 

Core Services Corp. was represented by Nelson Mullins Riley & Scarborough LLP with a team that included Michael Hollingsworth, Paul Rothstein, Katelyn Fredericks and Jay Collins (corporate). 

Northleaf Capital was represented by Torys LLP with a team that included Michael Akkawi and Owen Payne (corporate).
