York Receivables Trust III and TD Bank Close $1.5B Securitization

York Receivables Trust III, as issuer, TD Bank, as seller, and an underwriting syndicate that included TD Securities Inc., BMO Nesbitt Burns Inc., CIBC World Markets Inc., RBC Dominion Securities Inc., Scotia Capital Inc., Merrill Lynch Canada Inc., National Bank Financial Inc., HSBC Securities (Canada) Inc. and Desjardins Securities Inc., closed a $1.5 billion public securitization transaction on July 30, 2003. The notes issued by the trust are backed by a pool of credit card receivables originated by TD Bank and were issued pursuant to three short form prospectuses.

The trust and TD Bank were represented by McCarthy Tétrault LLP, with a team that included François Gilbert, Marc MacMullin, Dean Masse, Michael McConnell and Bernadette Saumur (corporate) and Gabrielle Richards and Jim Warnock (tax). TD Bank was also represented by in-house counsel Thomas Litzgus.

The underwriting syndicate was represented by Torys LLP, with a team that included Michael Feldman, Simon Knowling, Donald MacInnis and Glen Johnson (corporate) and John Tobin (tax).
