Practice focuses on securities law and public company M&A. Represents acquirers, targets, controlling shareholders and committees of independent directors in public company acquisitions, negotiated and hostile; issuers and underwriters in public and private financings; and advises public companies on corporate governance issues. Recently acted for Schlumberger in its acquisition of Saxon Energy Services; for Reuters in its dual listed company merger transaction with Thomson Corporation, the first of its kind in Canada; and for Agricore United in its response to hostile take-over bid from Saskatchewan Wheat Pool. Acted for Petro Kazakhstan in its auction process leading to its acquisition by China’s CNPC International Ltd. for US$4.2 billion, Wheaton River in its $2.3 billion merger with Goldcorp, and Special Committee of Intier in connection with its going-private acquisition by Magna International. Other M&A transactions include merger of Sun Life and Clarica and OMERS’ acquisition of Oxford. Experienced in securitization transactions and other innovative financing transactions, including spin-off of Sherritt International and financing and construction of bridge between New Brunswick and PEI.
