Huy Do is the Co-Leader of the firm’s Competition, Marketing & Foreign Investment group and Leader of the firm’s Southeast Asia practice group. His practice focuses on anti-trust/competition, marketing and foreign investment law. Huy is a widely recognized leader in Canadian competition, marketing and foreign investment laws. He is a Past Chair and member of the Executive of the Competition Law Section of the Canadian Bar Association and serves as a Non-Governmental Advisor to the International Competition Network, a network of antitrust/competition law enforcement agencies from around the world. Huy brings his wealth of experience, including from his time with the Competition Bureau, to advise clients in complex domestic and international competition law cases, including in relation to mergers, criminal cartels, deceptive marketing and abuse of dominance investigations. Huy also has extensive experience advising foreign clients, including state-owned enterprises, on economic and national security reviews under Canadian foreign investment law (Investment Canada Act).

On January 10, 2019, a consortium consisting of Air Canada, Toronto-Dominion Bank (“TD”), Canadian Imperial Bank of Commerce (“CIBC”) and Visa Canada Corp. (“Visa”) announced the successful closing of its purchase of Aimia Canada Inc., owner and operator of the Aeroplan Loyalty Business, from Aimia Inc.
On July 30, 2018, BWX Technologies, Inc. (NYSE:BWXT) (BWXT), a leading supplier of nuclear components and services, completed the acquisition of the medical isotope business of Nordion (Canada) Inc. (Nordion) from private-equity owned Sotera Health LLC (Sotera Health).
In separate closings on August 1 and August 16, 2018, Bayer AG, a global enterprise with core competencies in the Life Science fields of health care and agriculture, completed one of the largest antitrust enforcement divestitures in history by selling their agricultural businesses and assets for US$9 billion to German chemical company BASF SE.
MTY Food Group Inc. (MTY) and Imvescor Restaurant Group Inc. (Imvescor) successfully completed their combination to create a leading North American restaurant franchisor. The combination was carried out pursuant to a statutory amalgamation whereby all of the outstanding common shares of Imvescor were acquired by a direct wholly-owned subsidiary of MTY for a consideration having an aggregate value of approximately $247 million that consisted of approximately 20% in cash and approximately 80% in MTY common shares. The shareholders approved the amalgamation at a special meeting held on February 15, 2018, and the transaction closed on March 1, 2018.
On November 23, 2017, Alamos Gold Inc. (Alamos) completed its previously announced acquisition of all of the issued and outstanding shares of Richmont Mines Inc. (Richmont) pursuant to a plan of arrangement. Under the terms of the arrangement, Richmont common shares were exchanged on the basis of 1.385 Alamos common shares for each Richmont common share. Upon closing, Alamos has approximately 389,059,503 Class A shares outstanding with former Alamos shareholders and former Richmont shareholders owning approximately 77 per cent and 23 per cent of the pro forma company, respectively.
On July 31, 2017, Osisko Gold Royalties Ltd (Osisko) completed the acquisition of a high-quality precious metals portfolio of assets consisting of 74 royalties, streams and precious metal offtakes from Orion Mine Finance Group (Orion) in exchange for total consideration of $1.125 billion, consisting of $675 million cash and the issuance of 30,906,594 shares of Osisko.
On July 10, 2017, Integra Gold Corp. (Integra) and Eldorado Gold Corp. (Eldorado) completed a plan of arrangement pursuant to which Eldorado acquired all of the Integra shares that it did not already own.
A group of investors led by the Dutil family (the Family Group) and composed of American Industrial Partners (AIP), Caisse de dépôt et placement du Québec (CDPQ) and Fonds de solidarité FTQ (FSTQ and, collectively with the Family Group and CDPQ, the Rollover Shareholders) successfully completed the acquisition of Canam Group Inc. (Canam), a corporation involved in the design, manufacture and sale of construction products and services for the commercial, industrial, institutional, multi-residential and infrastructure construction industries, for approximately $875 million, including the assumption of existing indebtedness.
On January 18, 2017, Boralex Inc. (“Boralex”) a leader in the Canadian market for the development, building and operation of renewable energy power facilities and France’s largest independent producer of onshore wind power, completed the acquisition of all of the economic interest of ENERCON Canada Inc. (“ENERCON”) in the 230 MW Niagara Region Wind Farm Project (the “Project”), located in the Province of Ontario, for a total cash consideration of approximately $232.4 million.
On September 2, 2016, Cara Operations Limited (“Cara”), Canada’s oldest and largest full-service restaurant company, completed its acquisition of Groupe St-Hubert Inc. (“St-Hubert”), Québec's leading full-service restaurant operator as well as fully-integrated food manufacturer, for $537 million.
IAMGOLD Corporation completed the sale of its Niobec Mine (Niobec), one of the world’s three niobium producers, for total consideration of US$530 million.
First Quantum Minerals Ltd. announced that it acquired Lumina Copper Corp. in a cash and share transaction valued at approximately $470 million. The transaction was carried out by way of a statutory plan of arrangement pursuant to the Business Corporations Act (British Columbia). As a result of completion of the transaction, First Quantum now owns the Taca Taca project in Argentina, one of the world's most promising undeveloped copper deposits.
First Quantum Minerals Ltd. (“First Quantum” or the “Company”) and its wholly-owned subsidiary FQM (Akubra) Inc. (together, the “Offeror”) announced that, as of 5:00 p.m. EST on April 1, 2013, a total of 65,206,044 common shares of Inmet Mining Corporation (“Inmet”), representing 92.74 per cent of the outstanding Inmet shares (on a fully diluted basis), had been validly tendered to the Offeror's offer (the “Offer”) to acquire all of the outstanding shares of Inmet.
