On October 8, 2009, Chartwell Seniors Housing Real Estate Investment Trust, a real estate investment trust that owns and manages a complete range of seniors' housing communities, completed a public offering of 14,375,000 trust units. The offering included the exercise in full of an over-allotment option for 1,875,000 units, at a price of $6 per unit for gross proceeds of $86,250,000. The offering was completed through a syndicate of investment dealers led by RBC Dominion Securities Inc.
Chartwell was represented in-house by Jonathan Boulakia, general counsel and by Osler, Hoskin & Harcourt LLP. The Osler team was led by Christopher Murray and David Hanick, and included David Vernon, Rachel Halperin (corporate) and Kimberley Wharram (tax); and in the United States, James Lurie and Julia Gray (corporate) and Paul Seraganian and Kevin Colan (tax).
The underwriting syndicate was represented by Borden Ladner Gervais LLP with a team that included Paul Mingay, Gordon Raman, Shaunik Katyal and Krstina Skocic (corporate securities); Craig Webster (tax) and Alan Sless, Sylvie Bouvette and Patricia Galella (commercial). In the United States, the syndicate was represented by Skadden, Arps, Slate, Meagher & Flom LLP with a team that included Christopher W. Morgan, David Beeston and Sarah K. Ward (corporate); Moshe Kushman and Sara Baird (tax) and Jeleen Guttenberg (executive compensation and benefits).
