Entertainment One Ltd. completed its acquisition on September 24, 2008 of Barna-Alper Productions Inc. and Blueprint Entertainment Corporation, both established independent TV production companies in Canada, Oasis Pictures Inc., a film and television international sales and distribution company, and Maximum Film Distribution Inc. and Maximum Film International Inc., which acquire rights in Canada for films from around the world. These acquisitions establish Entertainment One Ltd. as a significant TV producer and distributor in the Canadian marketplace and provide Entertainment One Ltd. with a platform to become a Canadian market leader for content as well as distribution. Total purchase price paid was approximately $51.5 million in cash and exchangeable shares.
Entertainment One Ltd. was represented in Canada by Osler, Hoskin & Harcourt LLP with a team that included Mark Trachuk, Terry Tone, David Hanick, Rosalind Hunter and Michael Galego (corporate/securities), and Dov Begun (tax). Entertainment One was represented in the United Kingdom by Mayer Brown LLP with a team that included Lauri-Lynn Pursall, Richard Smith and Elaine Thornton, and in the Cayman Islands by Maples and Calder with a team that included Nicholas Butcher and Grant Dixon.
The acquired entities were represented in-house by Mark Musselman and were represented in Canada by Goodmans LLP, with a team that included Lawrence Chernin, Grant McGlaughlin, Jaclyn Seidman, Melanie Ouanounou, Eric Robb and Peter Hawkings (corporate/securities); Mitchell Sherman, David Veneziano and Mark Biderman (tax); David Zitzerman (entertainment) and Joe Morrison (employment). The acquired entities were represented in the United Kingdom by Adam Fenner at Olswang, and in the Cayman Islands by Corrine Fiesel and Stephen James of Appleby. Jim Russell of Heenan Blaikie LLP also acted for the Maximum group of companies and their shareholders in respect of certain matters.
