Galaxy Digital Holdings completes public listing via RTO with Bradmer Pharmaceuticals and First Coin Capital

On July 31, 2018, Galaxy Digital Holdings Ltd. (Galaxy) completed an arrangement transaction pursuant to which Bradmer Pharmaceuticals Inc., Galaxy Digital LP and First Coin Capital Corp. combined to form a new enterprise in the blockchain, digital asset and cryptocurrency space.

In connection with the completion of the arrangement transaction, escrowed funds from a previously-completed subscription receipt financing of approximately $305 million were released to Galaxy. GMP Securities L.P. acted as sole agent in the offering of subscription receipts.

Galaxy Digital LP was led by its in-house counsel team comprising Andrew Siegel, Kim Pillemer and Francesca Don Angelo. In Canada, it was represented by Blake, Cassels & Graydon LLP, with a team comprising Geoffrey Belsher, Andrew McLeod, Ross McKee, Matthew Merkley, Evan Straight, Nikita Ponomarev, Alexander MacMillan, Neelu Toor, Riley Graydon, Hani Migally, Mona Yousif, Andrew Wang, Geneve Say and Scott Whitley (securities/corporate), Jeffrey Trossman, Andrew Spiro, and Casey Richardson-Scott (tax) and Ryan Morris and Liam Kelley (litigation).

Galaxy Digital LP was represented in the Cayman Islands by Maples and Calder, with a team comprising Michael Johns, Jo Cunningham and Sophia Scott.

Bradmer Pharmaceuticals Inc. and GMP Securities L.P. were represented by Wildeboer Dellelce LLP, with a team comprising Perry Dellelce, James Brown, Geoffrey Cher, Julie Anderson, Danny Kharazmi, Davia Wang and Joel Fraser (securities/corporate) and Katy Pitch (tax).
