TravelCLICK Acquires Vantis Investment

On October 25, 2005, TravelCLICK Inc., a leading US provider of hotel business process management (BPM) solutions, acquired all of the outstanding shares of Vantis Investment Corp., which provides travel reservations and marketing services for the travel and hospitality industry. The amount of the transaction is undisclosed. The transaction was for a combination of TravelCLICK shares and cash.

TravelCLICK was represented in Canada by Stikeman Elliott LLP with a team that comprised John Leopold, Kevin Kyte, Robert Hogan, Marie-Andrée Beaudry and Michael Szlamkowicz in Montreal, Daniel Thomson in Toronto, and Craig Story and Mark Christensen in Calgary. TravelCLICK was represented in the US by Ropes & Gray LLP with a team that comprised Howard Glazer, Phil Smith, David Pemstein, Edouard Vo-Quang, Jennifer Harding, Stephen Shay, Amanda Morrison and Margie Hinckley.

Vantis was represented by Fraser Milner Casgrain LLP in Vancouver with a team that consisted of Blair Horn, David Frost, Taran Atwal and Genevieve Pinto (corporate/ securities) and Gordon Funt and Lori Mathison (tax). Vantis was represented in the US by Robert Clarkson and Sarah Eberhard at Jones Day in Menlo Park and Chicago, respectively.

Aird & Berlis LLP represented LaSalle Bank National Association and LaSalle Business Credit for the financing in Canada with a team led by Jeffrey Goldenthal and Boris Muchalov.
