BCE Emergis Closes Equity Offering

BCE Emergis completed an offering of $250 million of common shares in Canada on November 22, 2001. Pursuant to a short-form prospectus dated November 15, 2001, the company issued 2.6 million common shares through a syndicate of underwriters led by RBC Dominion Securities Inc. and CIBC World Markets Inc. and sold 3,870,968 common shares to a wholly owned subsidiary of BCE Inc.

BCE Emergis was represented by Monique Mercier and John Sypnowich, executive vice-president, law, and corporate secretary, and vice-president and general counsel, respectively; and by a team from Stikeman Elliott that included Jean Marc Huot, Louis Morisset and Selin Bastin. BCE was represented by Martine Turcotte and Ildo Ricciuto, chief legal officer and assistant general counsel, compliance, respectively. The underwriters were represented by Ogilvy Renault with a team that included Francis Legault, Solomon Sananes and Steve Kelly.
