Bombardier Completes Refinancing

On November 2, 2010, Bombardier completed its issuance and sale of €780 million aggregate principal amount of its new Senior Notes due 2021, which carry a coupon of 6.125 per cent sold at 99.0422 per cent. The syndicate for the offering of the new senior notes was led by Deutsche Bank, BNP Paribas, Crédit Agricole CIB, J.P. Morgan and UBS Investment Bank, as joint lead and joint book-running managers.

Bombardier used the net proceeds of this issuance to fund its cash tender offers to repurchase its Floating Rate Senior Notes due 2013 and its 8 per cent Senior Notes due 2014. The Floating Rate Senior Notes due 2013 and the 8 per cent Senior Notes due 2014 not validly tendered and accepted in the tender offers were redeemed on December 2, 2010, pursuant to the terms of the respective indenture governing each such series of Senior Notes. The dealer manager for the tender offers was Deutsche Bank.

The joint lead and joint book-running managers for the note financing and the dealer manager for the tender offers were represented by Davis Polk & Wardwell LLP in respect of US law matters, with a team composed of Richard Truesdell, Eilleen Park and Jonathan Pentzien (capital markets); Michael Farber and Arie Rubenstein (tax) and Gail Flesher and Connor Kuratek (environmental).

Stikeman Elliott LLP acted for the dealer manager and the joint lead and joint book-running managers in respect of Canadian law matters, with a team composed of Jean Marc Huot and David Massé (corporate finance and securities) and Franco Gadoury (tax). Mark Michigan of Greenberg Traurig, LLP acted for Deutsche Bank Trust Company Americas, the global trustee under the indenture for the new Senior Notes due 2021.
