Brookfield Office Properties Canada Acquires Interests in Office Properties

Brookfield Office Properties Canada (BOX), acquired from its parent company, Brookfield Office Properties Inc. a 25 per cent interest in nine Canadian office properties located in Toronto and Ottawa, with a total asset value of $362 million. CPP Investment Board (CPPIB) and ARCA Investments Inc. (ARCA) are the other co-owners of these properties. The properties consist of First Canadian Place, Toronto, 2 Queen Street East, Toronto, 151 Yonge Street, Toronto, Place de Ville I, Ottawa (two buildings), Place de Ville II, Ottawa (two buildings) and Jean Edmonds Towers, Ottawa (two buildings), and total 6.5 million square feet.

Brookfield was represented by Deborah Rogers, Senior Vice President, Legal – Eastern Canada and Elliott Feintuch, Associate Counsel, and a team from Torys LLP led by Rose Bailey, and that included Corrado Cardarelli (tax); Bill Lamoureux (real estate) and Christine Hunter (corporate).

ARCA was represented by a team from Gowling Lafleur Henderson LLP led by John Fingret (real estate) and Vince Imerti (tax), and that included Christopher Bardsley and Stephen McKersie (corporate).

CPPIB was represented by a team from Bennett Jones LLP led by S. Paul Mantini, and that included John van Gent (real estate/corporate); Juliana Abdo (real estate); Bernard Morris (tax) and Ranjeev Dhillon and Michael Lickver (corporate).

The independent trustees of BOX were represented by a team from Goodmans LLP that included Lawrence Chernin, Mark Spiro and Gail Jaffe (corporate); Tom Macdonald (real estate) and Jon Northup (tax).
