CGI Group Bids for Star Data Systems

On December 1, 2000, CGI Group Inc. (CGI), Canada’s largest independent information technology consulting firm, and Toronto-based Star Data Systems Inc. (Star Data), provider of information services and wealth management solutions to the financial services industry, jointly announced that they had entered into an agreement pursuant to which CGI would make a share exchange takeover bid for all of the outstanding shares of Star Data. Concurrently, Canadian General Capital Limited, Star Data’s largest shareholder, agreed to support and to tender its Star Data shares into the CGI bid. CGI’s offer, mailed on December 11, 2000, was for 0.737 of a Class A Subordinate Share of CGI for each Star Data common share.

CGI is being represented by McCarthy Tétrault, whose Montreal based team includes Christiane Jodoin and Jean-René Gauthier. Star Data has turned to Goodmans LLP, where the team includes Stephen Halperin, Neill May and David Weinberger. With the consent of all parties, McCarthy Tétrault’s Toronto office is advising Canadian General Capital Limited, with Christopher Hoffmann and Philip Kurtz leading that representation.
