CHENGDU TIANQI BUYS TALISON

Chengdu Tianqi Industry (Group) Co., Ltd. (“Tianqi”), one of the world's largest lithium chemical producers, has, through its wholly owned subsidiary, Windfield Holdings Pty Ltd. (“Windfield”), completed its acquisition of Talison Lithium Ltd. (“Talison”).

The transaction was completed by way of a scheme of arrangement under Australian law to acquire 100 per cent of the Talison shares not already owned by Windfield for an aggregate consideration of approximately $848 million.

Talison was represented in Canada by Blake, Cassels & Graydon LLP with a team that included John Wilkin, Michael Smith, Michael Hickey (securities) and Bryan Bailey (tax). With respect to Australian matters, Talison was represented by Clayton Utz with a team that included Heath Lewis and Caitlin Sharp.

Tianqi was represented in Canada by Stikeman Elliott LLP with a team that included Donald Belovich and Colin Burn (securities). With respect to Australian matters, Tianqi was represented by a team from Allens including Guy Alexander, Marcus Clark and Matthew Ireland.
