Constellation Acquires Vincor

On June 5, 2006, in a plan of arrangement valued at approximately $1.58 billion, Constellation Canada Holdings Limited, a wholly owned subsidiary of Constellation Brands, Inc., acquired all of the shares of Vincor International Inc. at a cash price of $36.50 per share.
