Genesee and Wyoming Enter into Loan Agreement

Genesee and Wyoming Inc. refinanced its existing American and Canadian credit facilities and entered into a fourth amended and restated revolving credit and term loan agreement with a syndicate of lenders led by Fleet National Bank on October 31, 2002. The agreement provides for a facility in the amount of US$250 million including a US$27 million facility available to its Canadian subsidiary, Quebec Gatineau Railway Inc.

Genesee and Wyoming was represented in Canada by Heenan Blaikie LLP, with a team comprised of Eric Maldoff, Glen Bowman, Robert Campbell and François-Simon Labelle in Montreal and Richard Lewin (tax), Paul Wickens and Andrea Safer in Toronto. In the U.S., Genesee and Wyoming was represented by William Sheehan and Lillian Lau of Simpson Thacher & Bartlett.

The syndicate of lenders were represented by Cynthia Barnett, Deidre Doherty and Rylan Rawlins of Bingham McCutchen LLP in the U.S., assisted by Sterling Dietze, Derek Chiasson and Martin Corbo of Stikeman Elliott in Montreal.
