Macquarie NexGen Global Infrastructure Completes IPO

On March 23, 2007, Macquarie NexGen Global Infrastructure Corporation (the Fund) completed its initial public offering of 8,725,000 Class A Shares for gross proceeds of $85 million. Upon the closing on April 9, 2007 of the exercise of an over-allotment option for 6,250,000 Class A Shares, the Fund's gross proceeds from this offering totalled $91,250,000.

The Fund is designed to provide investors with exposure to the total return of an actively managed portfolio consisting primarily of publicly listed equity and equity-like securities of global issuers that own or operate infrastructure assets. The manager of the fund is NexGen Financial Limited Partnership (the manager), which has retained Macquarie Alternative Investments Limited to manage the portfolio.

The syndicate of agents was co-led by CIBC World Markets Inc. and Scotia Capital Inc. and included RBC Capital Markets, BMO Capital Markets, National Bank Financial Inc., TD Securities Inc., Canaccord Capital Corporation, Dundee Securities Corporation, HSBC Securities (Canada) Inc., Raymond James Ltd., Berkshire Securities Inc., Blackmont Capital Inc., Wellington West Capital Inc., Desjardins Securities Inc., Newport Securities LP and Research Capital Corporation.
The fund and its manager were represented by Patrick Lincoln, secretary of the fund and executive vice-president of the manager, and by a team from Stikeman Elliott LLP that consisted of Jennifer Northcote, Jonathan Moncrieff (corporate/securities), John Lorito, (tax) and Mark McElheran (banking, structured finance and financial products). Macquarie Alternative Investments was represented by Jeff Glass, a partner at Blake, Cassels & Graydon LLP.

The agents were represented by McMillan Binch Mendelsohn LLP (McMBM), with a team comprising Margaret McNee, Nicole Lee and David Hudson, (corporate/securities), David Wentzell and Michael Friedman (tax), and Shahen Mirakian (derivatives). McMBM also acted for the lender, Royal Bank of Canada, with a team led by Kathy Martin (banking and finance).
