Mediagrif Acquires BMO MERX Business

On December 11, 2002, Mediagrif Interactive Technologies Inc., a leading operator of e-business networks based in Montreal, purchased BMO Financial Group’s MERX public-sector electronic tendering service business. The purchase price was $6.5 million plus certain performance-based royalty payments payable to BMO.

Mediagrif was represented in-house by Jean Lesage, vice-president, legal affairs, and secretary, and by McCarthy Tétrault LLP with a team that included Mireille Fontaine and George Maziotis (corporate, M&A), Lonnie Brodkin-Schneider (intellectual property) and Luc Grenon (tax) in Montreal, and Virginia Schweitzer (corporate, M&A) and Christopher Edwards (labour and employment) in Ottawa.

BMO was represented in-house by Dougal Clark, senior counsel and counsel Rita DiLuca (corporate, IT), and by Fraser Milner Casgrain LLP with a team that included Jim Janetos, Chris Turney, Colin Ground and Gillian Akai (corporate, M&A), Anneli LeGault (labour and employment) and Grace Pereira (tax) in Toronto and Kiriakos Vanikiotis (corporate, M&A) in Montreal.
