National Bank of Canada Completes $114m Secondary Offering of Class A Shares of Fiera Capital

On March 12, 2015, National Bank of Canada (National Bank) completed a secondary offering, through a subsidiary, on a private placement basis, of 9,083,000 class A subordinate voting shares of Fiera Capital Corporation (Fiera) at a price of $12.60 per share for gross proceeds of $114,445,800.

The Offering was completed on a bought deal basis and was underwritten by a syndicate of underwriters led by National Bank Financial Inc., GMP Securities L.P. and Scotiabank, and which also included BMO Nesbitt Burns Inc., CIBC World Markets Inc., RBC Dominion Securities Inc., TD Securities Inc. and Desjardins Securities Inc.

McCarthy Tétrault LLP acted as counsel to National Bank and its subsidiaries, with a team composed of Patrick Boucher, Sonia Struthers, Charles-Antoine Soulière, Jacob Stone and Mark McEwan.

Norton Rose Fulbright Canada LLP acted as counsel to the syndicate of underwriters, with a team composed of Stephen Kelly, David Millette, Nicholas Cerminaro and Francis Grignet.
