Ontario Wind Farm Project Receives $212.5M Financing

As of April 16, 2010, Kruger Energy Chatham Limited Partnership (“KEC”), a special-purpose limited partnership, entered into a credit agreement with a syndicate of lenders led by The Bank of Nova Scotia (“BNS”), as agent, to provide a construction loan and a term loan of up to $196.2 million, as well as a letter of credit facility of up to $16.3 million for the development, construction and operation of a wind farm in the Municipality of Chatham‑Kent, Province of Ontario with a nameplate capacity of 101.2 MW. KEC was formed by Kruger Products Limited, a subsidiary of Kruger Inc.

KEC and its general partner were represented by in-house counsel Guy Paquette and Julie Belley‑Perron, who were assisted by McCarthy Tétrault LLP with a team that included Marie-France Gagnon, Laurent Levac and Louis-Nicolas Boulanger in Montréal and Bram Green, Jamie Orzech, James Gage and Lynn Parsons in Toronto. Paul McCarten and Stephanie Campanaro of Borden Ladner Gervais LLP in Toronto acted as their real property counsel on the transaction.

The syndicate of lenders and BNS were represented by Fasken Martineau DuMoulin LLP with a team that included Xeno Martis, Angela Onesi, Alexandre Gagnon and Jiyung Choi in Montréal and Jon Holmstrom, Daniel Law and Dugan Edmison in Toronto.
