Quest Software Acquires Sitraka Outstanding Securities

On November 1, 2002, Irvine, California-based Quest Software, Inc., a leading provider of application management solutions, acquired all the outstanding securities of Toronto-based Sitraka Inc. Sitraka is a privately-held company that provides application-server performance management. The purchase price was approximately US$55 million in cash.

The Quest team was co-ordinated by Juli Ackerman, vice-president, business development, and by J. Michael Vaughn, in-house counsel. In Canada, Quest was represented by Macleod Dixon LLP, with a team including Joel Friley, Craig Hoskins and KayLynn Litton (corporate) and Craig Maurice (tax) in Calgary and Edward Heakes (tax) in Toronto.

In Canada, Aird & Berlis LLP acted for Sitraka, with a team comprised of Jay Lefton and Richard Kimel (corporate) and Henry Chong (tax); assisted by Constance Crosby of Byrne Crosby in Toronto. Investment bank, J.P. Morgan H&Q in San Francisco, also advised Sitraka.
