Ralston Purina- Canbrands Acquisition

Fasken Martineau DuMoulin recently acted for Ralston Purina Company and Ralston Purina Canada Inc., in their purchase of the assets of Canbrands and its US subsidiary. Canbrands carries on the business of making recycled paper-based cat and other small animal litter products. The deal, valued at $22,500,000.00, also involved Maple Leaf Foods–a major shareholder of Canbrands International.

Ralston’s internal counsel Stan Rea, Nancy Hamilton, Al Forsman and Patricia Wharton, joined with the team from Faskens which included Douglas E. Grundy, Belinda J. James, Ralph N. Nero, J. David Vincent and Rosalind S. Cooper. Frank D. Guarascio and Wayne Bigby from Blake, Cassels & Graydon LLP acted for Maple Leaf Foods. Canbrands was represented by James E. Anderson of Anderson, McWilliam, LeBlanc & MacDonald of Moncton. Canbrands in the U.S. was represented by Randell Wallace of Lathrop & Gage LC, Springfield, Missouri.
