RBC Completes US$1B Senior Notes Offering

On July 20, 2006, Royal Bank of Canada completed an offering in the United States and elsewhere outside of Canada of US$1 billion of 5.65 per cent senior notes due 2011 under a prospectus supplement dated July 12, 2006 to the bank's base shelf prospectus dated December 1, 2005 for up to US$6 billion of senior and subordinated debt securities filed in, and prepared in accordance with the disclosure requirements of, Quebec pursuant to the Multi-jurisdictional Disclosure System.
The notes were sold by a syndicate of underwriters including RBC Capital Markets Corporation (Bookrunner and Manager), Bear, Stearns & Co. Inc., Banc of America Securities LLC, Deutsche Bank Securities Inc., Goldman, Sachs & Co., HSBC Securities (USA) Inc., J.P. Morgan Securities Inc., Lehman Brothers Inc., and Morgan Stanley & Co. Incorporated.
Royal Bank was represented in-house by Paul Guthrie and Melinda Anderson, in the United States by Donald Crawshaw, Jiang Liu and Ryan McNeill of Sullivan & Cromwell LLP, and in Canada by Dawn Whittaker of Ogilvy Renault LLP.
