Rock-Tenn Acquires Cartem Wilco

On January 15, 2003, Rock-Tenn Company, a manufacturer of packaging products, merchandising displays and recycled paperboard, acquired all of the outstanding shares of Cartem Wilco Group Inc., a privately-held Canadian manufacturer of folding cartons and specialty packaging, for a total purchase price of $100.5 million.

Stikeman Elliott LLP acted for Cartem Wilco and its shareholders, in collaboration with in-house counsel Sonia Lévêque, Fonds de solidarité des travailleurs du Québec (F.T.Q.), one of the selling shareholders, and with Claude Girard of Desjardins Ducharme Stein Monast in Quebec, and in-house counsel Gilles Montplaisir and Stephanie Rheault, La Financière du Québec, another selling shareholder.
