Settlement of Proxy Contest Results in Reconstituted Board of Directors of Roxgold

At Roxgold Inc.'s annual meeting held on September 25, 2012, Oliver Lennox-King and each of his four other nominees to the Roxgold board of directors were successfully elected following a proxy contest initiated several months earlier by Mr. Lennox-King. Joining Mr. Lennox-King's nominees on the expanded Roxgold board were two additional independent nominees put forward by Roxgold management in response to Mr. Lennox-King's proxy contest. Mr. Lennox-King and Roxgold entered into a Settlement Agreement in advance of the annual meeting that terminated the proxy contest commenced by Mr. Lennox-King on mutually agreeable terms.

This settlement allowed Roxgold to move forward with a reconstituted board.
