Credit Agreement of T.A.T. Technology Inc.

On August 25, 2000, Insilco Technologies, a leading global supplier of custom cable assemblies and wire harnesses, and its Canadian subsidiary, T.A.T. Technology Inc., amended their previous bank credit agreement and facilities. A number of financial institutions are involved, including Bank One, N.A. as administrative agent and DLJ Capital Funding, Inc. as lead arranger and syndication agent to US$210 million.

The lenders were represented by Andrew Mattei, Timothy R. Ryan and Ron Franklin at Mayer, Brown & Platt in the US while James Mathers and Larissa Tkachenko at Borden Ladner Gervais LLP were Canadian counsel. Insilco was represented by Lawrence Wieman, Tiziana Tabucchi, Erika Adkins and Holly Strutt at Davis Polk & Wardwell and Alain Côté and Miguel Manzano from Ogilvy Renault were Canadian counsel.
