Outland Group acquired by Carillion Construction Inc.

On May 28, 2015, Carillion Construction Inc. (Carillion), a wholly-owned subsidiary of Carillion plc, acquired the Outland group of companies (Outland).

The consideration will be paid in instalments, with the total dependent on the financial performance of Outland but capped at £63 million.

The acquisition is in line with the Carillion’s strategy to accelerate the development and growth of its support services business across Canada.

Currently, Outland is delivering projects or actively bidding for contracts in nine of Canada’s 13 Provinces and Territories.

Outland is a leading provider of remote-site accommodation and associated services operating across Canada. Carillion is one of Canada’s leading integrated support services companies.

Carillion was represented on the transaction by a Blake, Cassels & Graydon LLP team that included Gail, Lilley, Andrew Gordon, Tamara Nachmani and Andrew Clark (business law), Bruce Sinclair (tax), Jason Gudofsky and Emma Costante (competition and antitrust) and Connie Reeve (employment).

Outland was represented on the transaction by a McMillan LLP team, led by Frank Archibald, and which included J.R. Beaudrie, and Tim Hughes (business law) and Casey Halladay (competition and antitrust).
