TransForce Completes $143.75M Bought-Deal Offering

On November 19, 2010, TransForce Inc. completed a bought-deal offering pursuant to which it issued and sold 6 per cent convertible unsecured subordinated debentures in an aggregate principal amount of $143.75 million.

The debentures were sold to a syndicate of underwriters co-led by National Bank Financial Inc. and RBC Dominion Securities Inc., acting as joint book-runners, and including BMO Nesbitt Burns Inc., CIBC World Markets Inc., Desjardins Securities Inc., Scotia Capital Inc. and Cormark Securities Inc.

The $143.75 million aggregate principal amount of convertible debentures sold by TransForce included $18.75 million of convertible debentures issued by TransForce upon the exercise in full by the underwriters of an over-allotment option.
