Byron Loeppky is Senior Counsel, Business Law – GTA Lead Private Business. In his practice, Byron advises and represents business owners, foreign and domestic corporations, directors, officers and management on a wide range of corporate and commercial matters. With a particular focus on: succession planning strategies for owners and operators of private businesses including by way of public and private liquidity event transactions; domestic and cross border private equity, merchant banking and private M&A transactions; corporate finance transactions; corporate governance including complex ownership arrangements, shareholder rights and remedies, “oppression remedy” claims and defences and stakeholder disputes generally; and senior executive and employee compensation arrangements. Acting for buyers, sellers, owners and other investors, Byron has led the completion of mid-market private company transactions valued in excess of $5 billion across a broad range of industries including life sciences, food services, agri-business, technology enterprises, financial services, wealth management, veterinary services, insurance brokerage services, energy, manufacturing, construction services and rentals, transportation, automotive, gaming and entertainment.
Arthur J. Gallagher Canada Limited, a subsidiary of Arthur J. Gallagher & Co. (AJG), completed its acquisition of Noraxis Capital Corporation from Roins Financial Services Limited, which also owns the RSA Canada group of companies (RSA). The aggregate purchase price for the business, including minority interests and subject to adjustment, was approximately $500 million. Noraxis management shareholders continue to hold approximately 11 per cent of the business.
