Practice focuses on corporate finance and, in particular, banking, syndicated corporate lending, project finance, acquisition finance, high-yield debt financings, and structured finance. Recent transactions have included major acquisition financings (including in the private-equity space), private placements, and cross-border financings and financings of oil sands projects, energy services companies, conventional oil and gas reserves, pipelines, and power-generating assets. Acted as lead counsel for Schulberger, Crescent Point, Enbridge, Petrobank, Lightstream, Petrominerales, Bankers Petroleum, and TransAlta, and has acted as lead counsel for the lenders to CNOOC, Nexen, PotashCorp, Calfrac, Baytex, Trinidad Drilling, Enerflex, Nabors Canada, Canadian Energy Services, and others, in each case in connection with their respective senior syndicated credit facilities. Capital Power Corporation completed its acquisition of Goreway Power Station Holdings Inc., which owns the Goreway Power Station, from JERA Co., Inc. (JERA) and Toyota Tsusho Corporation for a total of $977 million.
Junex Inc. (“Junex”) (TSXV:JNX) and Cuda Energy Inc. (“Cuda”), a private Alberta based exploration and development company, entered into an arm’s-length arrangement agreement dated June 8, 2018, that provides for the combination of Cuda and Junex.
TriWest Capital Partners, in partnership with the senior management team, acquired Broda Group Inc. (formerly Broda Construction Inc.) from Stuart Olson Inc. by way of a combination of an acquisition of assets and shares. The purchase price was $39 million.
