Jennifer is a partner in the Mergers & Acquisitions, Shareholder Activism, Corporate Governance, Capital Markets & Securities, and Mining practices. She advises acquirers, targets, investors, boards, and special committees on contested and friendly public and private M&A, shareholder activism and engagement, equity and debt financings, and private equity matters. Jennifer is a corporate governance expert, guiding management, boards, and committees on a wide range of governance issues and best practices, including in response to shareholder activism and on transaction-specific issues. She also regularly counsels public companies on securities laws and public reporting, both in ordinary course and complex situations. She works across a wide range of industries—including mining, energy, retail, financial services, pharmaceutical, private equity, real estate, and manufacturing and other heavy industries. Jennifer is co-Chair of the firm’s Public M&A/Activism/Governance practice group, the lead author of Davies’ annual Governance Insights report, and a member of the OSC’s Securities Advisory Committee.
