Kevin acts for corporations on mergers & acquisitions, financings, commercial real estate financings, and corporate/commercial matters. He assists clients with negotiating, drafting, and advising on major commercial agreements and advising boards of directors and committees on corporate governance matters and their fiduciary obligations; his clients benefit from his creative, proactive, and pragmatic approach in solving problems and from his ability to work closely with senior management teams to help them achieve their objectives. He routinely acts for companies active in the Alberta forestry sector. Kevin is presently acting for Alberta's sawmill industry in the Canada and United States softwood lumber trade dispute, being the fifth dispute in the last 40 years. The interests of the Alberta softwood lumber industry are being advanced through legal appeal mechanisms provided for by the World Trade Organization and the bi-national appeal process pursuant to NAFTA. He has been heavily involved in the preparation of numerous legal submissions filed with the Department of Commerce. The all-others duty rates imposed upon Canada's exports of softwood lumber into the United States was recently reduced from about 20% to approximatelty 9%.
On April 2, 2019, ZCL Composites Inc. (TSX: ZCL) and Shawcor Ltd. (TSX: SCL) completed its $312 million statutory plan of arrangement under the Canada Business Corporations Act whereby Shawcor Ltd. acquired all the issued and outstanding common shares of ZCL Composites Inc. for $10.00 per common share payable in cash.
