Peter Hamilton is a partner in the Banking & Finance Group. He practises extensively in the area of banking and corporate finance with particular emphasis in the areas of corporate finance, project finance, the regulation of financial institutions, derivatives, structured finance and insolvency. Peter has been active on a variety of regulatory mandates in recent years, including advising international banks such as Barclays Bank, Royal Bank of Scotland, Allied Irish Bank, BNP Paribas, Société Générale, Deutsche Bank, Bank of New York, JP Morgan Chase, Morgan Stanley, UBS AG, Credit Suisse and Macquarie Bank and National Australia Bank on the acquisition of Canadian assets, the establishment of Canadian business, transactional matters and associated regulatory requirements. Domestically, he has advised a number of Canadian banks, insurance companies and trust companies with respect to regulatory matters and transactions, including potential mergers in the 1990s. He has represented a Canadian chartered bank in litigation relative to various corporate governance and board matters. Peter has lectured on banking and financial institutions issues at Queen’s University and Osgoode Hall Law School.
On November 30, 2018, Essar Steel Algoma Inc. (“ESAI”) concluded its comprehensive restructuring under the Companies’ Creditors Arrangement Act by way of the sale of substantially all of its assets to Algoma Steel Inc. (“ASI”).
On November 1, 2017, The Washington Cos. (Washington), a group of privately held North American mining, industrial and transportation businesses founded by industrialist and entrepreneur Dennis R. Washington, completed its acquisition of Dominion Diamond Corp. (Dominion) for approximately $1.5 billion.
On March 3, 2015, Sun Life Financial Inc. and BCE Inc. announced a new agreement that further advances BCE’s pension de-risking strategy by transferring longevity risk for C$5 billion of pension plan liabilities to Sun Life Assurance Company of Canada.
On March 30, 2015, a subsidiary of Renewable Energy Trust Capital, Inc. acquired CityLights solar power project, a 10-megawatt AC solar power plant, from CSI Solar Project 16 Inc., a subsidiary of Canadian Solar Inc. Two other 10-megawatt AC solar power plants, DiscoveryLight and FotoLight, were acquired by the same subsidiary on December 31, 2014.
Essar Steel Algoma Inc. (Algoma) concluded its comprehensive US$1.4 billion recapitalization and refinancing. Algoma restructured certain of its existing debt obligations by way of a plan of arrangement under the CBCA and refinanced its outstanding debt through concurrent Term Loan, ABL, High Yield Debt and Junior Notes financings.
