Toronto-Dominio Bank $500M Debenture Offering

The Toronto-Dominion Bank recently completed an offering of $500 million of debentures qualifying as Tier 2 capital of the Bank. This offering comes on the heels of the Bank’s $750 million offering of debentures in April, 2000, and is the latest in a series of public financings over the past year that have raised over $3.2 billion in connection with TD Bank’s acquisition of CT Financial Services Inc., the parent of Canada Trust.

Acting again for TD Bank was McCarthy Tétrault with a team comprised of Owen A. Johnson, David Judson, Stuart Miller and Wendy Gwyn Phierry (corporate) and James R. Wilson and Jerald M. Wortsman (tax). The underwriters on this transaction, led by TD Securities Inc., were advised by George Glover, Joel Binder and Jeff Larsen of Fasken Martineau DuMoulin LLP.
