PTW Energy Services acquires Pyramid Corp., Tarpon Energy, and Warwick & Kent Holdings

PTW Energy Services Ltd. acquired Pyramid Corporation, Tarpon Energy Services Ltd., and Warwick & Kent Holdings Ltd. PTW has been capitalized with significant investments from private-equity firms Metalmark Capital and NCA Partners, and reinvestment by the shareholders of Pyramid and Warwick & Kent. The financial terms of the transaction were not disclosed.

PTW Energy Services Ltd. is a newly formed privately-held company headquartered in Nisku, Alberta, Canada. PTW is a energy services company providing electrical and instrumentation, and building fabrication services to energy, engineering and construction clients operating across growing markets in Canada, the United States, Southeast Asia and the Middle East.

Davis Polk & Wardwell LLP represented Metalmark Capital with a team including John Bick, James Elworth and Cheryl Chan (corporate); Monica Holland and Yuli Wang (credit); Kathleen Ferrell and Sam Van Peperstraete (tax), and John Wright and Julia Lapitskaya (executive compensation).
