AGF Management Completes Offering

On December 6, 2000, AGF Management Limited (AGF) completed a $137.5 million bought deal offering of 5,500,000 Class B non-voting shares at $25 per share. The offering was effected through an underwriting syndicate led by TD Securities Inc. and BMO Nesbitt Burns Inc. and including Merrill Lynch Canada Inc., Scotia Capital Inc., CIBC World Markets Inc., RBC Dominion Securities Inc. and Griffiths McBurney & Partners.

The net proceeds of the offering will be used to repay bank debt incurred by AGF in connection with its acquisition of all the outstanding shares of Global Strategy Holdings Inc., completed in November, 2000. AGF is a leading Canadian mutual fund and wealth management company, with more than $34 billion in total assets under management.
