Bombardier Obtains Credit Facilities

On July 10, 2002, Bombardier Inc. and certain of its European subsidiaries entered into a facility agreement with a syndicate of international financial institutions for which HSBC Investment Bank plc acted as agent. Under the agreement, Bombardier and the other borrowers obtained credit facilities in the aggregate amount of up to €3.75 billion (which amount was, as of July 17, 2002 approximately equivalent to $5.8 billion Canadian). The proceeds will be used for general corporate and working capital purposes.

Bombardier and the other borrowers were represented in-house by vice-president, legal services, Daniel Desjardins, advised and assisted by Ogilvy Renault with a team composed of Paul Raymond, Christian Sioufi, Alain Ricard and Jules Charette (tax) in Montreal, and Peter Noble in London. The lenders syndicate was represented by Allen & Overy, with a team composed of Peter Schulz, Sonya Van de Graaff and Alice Wu in London, Marcell Nemeth in Budapest, and Sylvia Kierszenbaum and An Maudens in Antwerp.
